Terms of Use of NERO

Version 1.0 · Effective 19 Oct 2026

These Terms of Use govern access to and use of NERO, the invite-only business collaboration application of Nero Partners. They apply to every person to whom Nero Partners gives access to NERO, whether as a member of its staff or as a contact of one of its clients.

2. Definitions

In these Terms the following expressions have the meanings given below:

  • "Nero Partners" means the provider identified in the previous section.

  • "User" means a natural person to whom Nero Partners has given access to NERO.
  • "Client" means a business with which Nero Partners has a business relationship and for which it keeps a workspace in NERO.
  • "Organisation" means the business on whose behalf a User uses NERO: Nero Partners itself for its staff, and the relevant Client for its contacts.
  • "business relationship" means the relationship between Nero Partners and a Client within which NERO is used; for staff of Nero Partners, it means their work for Nero Partners.
  • "Workspace" means the part of NERO in which the projects, content and data relating to a Client, or to Nero Partners' own work, are kept.
  • "Service Agreement" means any separate agreement between Nero Partners and a Client that governs the services Nero Partners provides, including any agreement on the processing of personal data.
  • "User Content" means any text, message, voice message, file, document, link, image, figure, report or other material that a User uploads, enters, imports or otherwise makes available in NERO.
  • "Connected Service" means a platform or service of a third party from which NERO may read data where a connection to it has been configured.
  • "Terms" means these Terms of Use of NERO.

3. Scope and what NERO is

These Terms govern the relationship between Nero Partners and each User in connection with access to and use of NERO. This is version 1.0 of the Terms, effective 19 October 2026.

NERO is a business web application through which Nero Partners and its Clients work together. Depending on the role and access given to a User, it may include in particular:

  • projects and their workspaces, tasks and to-dos;
  • message boards, comments, reactions and direct and group chat, including voice messages;
  • documents, files and links;
  • approvals and client requests;
  • meetings, a calendar, availability and check-ins;
  • notifications within NERO;
  • reports, marketing performance results and a creatives library;
  • a client portal through which the contacts of a Client see, and take part in, the work that concerns them;
  • records of the activity in NERO.

NERO is available by invitation only. It is not a public service, it is not offered to consumers within the meaning of the Bulgarian Consumer Protection Act, and no one can register on their own initiative.

The functions available to a particular User depend on the role and access assigned to them and may differ between Users and between Workspaces.

4. Eligibility and authorised business use only

NERO may be used only by:

  • staff of Nero Partners whom Nero Partners has authorised to use it; and
  • persons whom a Client has designated as its contacts and whom Nero Partners has invited.

A User uses NERO only on behalf of their Organisation, within its business activity and only for the purposes of the business relationship. NERO is not offered to consumers within the meaning of the Bulgarian Consumer Protection Act and may not be used for personal, family or household purposes.

Approvals, requests and other statements that a User makes through NERO are treated by Nero Partners as made on behalf of the User's Organisation. The User makes them only within the authority given to them by the Organisation.

Where the User's authority ends or is restricted, the User shall not act beyond it, and the User or their Organisation shall inform Nero Partners without delay.

5. Invitation and account creation

Accounts in NERO are created only by Nero Partners or through an invitation issued by Nero Partners.

  • A contact of a Client receives from Nero Partners a personal invitation link. The link can be used only once, only for the e-mail address for which it was issued, and is valid for seven days. Through it the person creates their account and chooses their own password, which Nero Partners does not see.
  • An account for a member of Nero Partners' staff is created by Nero Partners, which gives the person a personal means of first access that is valid for a limited time. Before they can use NERO, the person must choose a password of their own.
  • Invitation links and other means of first access are given to the person by Nero Partners through its own channels of communication. They are personal and must not be passed on to anyone else. An expired or used link cannot be used again; a new one may be requested from Nero Partners.

When NERO asks for it — before first use, and again after a material change to these Terms — the User must accept these Terms and confirm that they have read the Privacy Policy and the Cookie Policy, and may not continue to use NERO until this has been done.

The User shall provide accurate information about themselves and keep it up to date, in particular their name and business e-mail address.

6. Acceptance of the Terms

These Terms are accepted electronically, by an express action of the User on the screen that NERO shows for this purpose. The acceptance is binding on the User.

The User accepts these Terms personally and confirms that they use NERO with the authorisation of their Organisation. Where the Organisation is a Client and the User has authority to represent it, the acceptance is also made on the Client's behalf. Where the User has no such authority, the relationship between Nero Partners and the Client is governed by the Service Agreement.

The Privacy Policy and the Cookie Policy are information notices. The User confirms that they have read them; this confirmation is not consent to the processing of personal data.

For each acceptance and confirmation, Nero Partners keeps a record of the account, the organisation in NERO to which the account belonged at the time (where there is one), the document, its version and language, a cryptographic fingerprint (hash) of the exact text shown and the server time of the act. The record contains no IP address and no password.

The version of these Terms in force is available in NERO and may be saved or printed by the User.

7. Credentials and account security

A User's account is personal. The User is responsible for:

  • keeping their password and any other means of signing in confidential and not disclosing them to anyone, including colleagues;
  • choosing a strong password that they do not use for other services;
  • using a second sign-in step, such as a code from an authenticator app, where NERO offers it or Nero Partners requires it;
  • the security of the devices and browsers through which they use NERO, including signing out on shared devices and not choosing to be remembered on a device that others use;
  • all activity carried out through their account, unless it results from a failure of Nero Partners to perform its own obligations or takes place after the User has notified Nero Partners under the next paragraph and Nero Partners has had a reasonable opportunity to act.

If the User suspects that their password, another means of signing in or a device has been compromised, or that their account is being used without authorisation, they shall notify Nero Partners without delay at k.georgiev@neropartners.bg and change their password. Nero Partners may then suspend or restrict access to the account in order to protect it.

A User who has forgotten their password may request a password reset from the sign-in page.

8. Licence to use NERO

Subject to these Terms and to any applicable Service Agreement, Nero Partners grants the User a limited, revocable, non-exclusive, non-transferable and non-sublicensable right to access and use NERO through a web browser:

  • only while Nero Partners authorises the User to use it;
  • only for the business relationship;
  • only within the role and access assigned to the User; and
  • only in accordance with these Terms.

The right ends automatically when the User's account is deactivated, when Nero Partners withdraws the User's access or when the business relationship ends. It does not include any right to receive the source code of NERO, or to copy, install or run NERO outside the access that Nero Partners provides.

9. No transfer of ownership

Use of NERO does not transfer to the User or to the Organisation ownership of NERO or of any part of it, or any intellectual property right in it. All rights not expressly granted in these Terms are reserved by Nero Partners.

Where a User shares ideas or suggestions for improving NERO, Nero Partners may use them freely, free of charge, without territorial limitation and for the full term of protection of any rights in them, without any obligation to the User in respect of them, to the extent permitted by law.

10. Rights of Nero Partners

To the extent they are protected by law, including by copyright, by rights in databases and by the protection of trade secrets, the rights in the following belong to Nero Partners or to its licensors:

  • the software of NERO and its source and object code;
  • its design, user interface, structure and arrangement;
  • its internal processes, methods, ways of organising work and templates;
  • the know-how embodied in NERO;
  • the names NERO and Nero Partners and the associated logos and visual identity;
  • the documentation and other materials about NERO.

The User may not use the names, logos or visual identity of NERO or of Nero Partners without the prior written consent of Nero Partners, nor remove or alter any notice of rights shown in NERO. Components of third parties included in NERO remain subject to their own licences.

11. User Content

The User, their Organisation or the respective rightholder keeps all rights in User Content. Nero Partners acquires no ownership of it.

The User, on their own behalf and on behalf of any rightholder for whom they are authorised to act, grants Nero Partners a non-exclusive, free-of-charge right, without territorial limitation, for as long as the User Content is kept in NERO and afterwards for as long as copies of it remain in backups or are kept under the section on data after termination, to host, store, process, reproduce for backup and technical purposes, display and make available User Content to the Users who have access to the relevant Workspace, to the extent necessary to provide NERO and the services of Nero Partners and to comply with the law. Nero Partners may exercise this right through the service providers that host and operate NERO on its behalf.

Nero Partners does not sell User Content and uses it only as these Terms and the Service Agreement allow.

The User represents and warrants that:

  • they have the rights and the authority to upload User Content and to make it available in NERO;
  • User Content and its use under these Terms do not infringe the law or the rights of others, including intellectual property rights, trade secrets and the right to privacy;
  • where User Content contains personal data of other persons, such as customers, employees or contacts of the Organisation, there is a legal basis for its processing in NERO and those persons have been informed as the law requires;
  • User Content contains no viruses or other malicious code.

User Content placed in a Workspace is visible to the other Users who have access to it, according to their roles. Before sharing content, the User shall consider who has access to the place where they share it.

Nero Partners does not review User Content in advance and is not obliged to do so. It may restrict access to or remove User Content that it reasonably considers unlawful or contrary to these Terms. It then informs the User concerned of the measure and its reasons, unless the law prohibits this or the User cannot be reached, and the User may ask Nero Partners to reconsider the measure. Anyone may report content in NERO that they consider unlawful to k.georgiev@neropartners.bg, stating where the content is and why they consider it unlawful.

NERO is not intended to be the only place where the Organisation keeps its documents. The Organisation is advised to keep its own copies of important content.

12. Relationship with the Service Agreement

The services that Nero Partners provides to a Client, and their commercial terms, are governed by the Service Agreement. It may contain additional rules, including on fees, data protection and intellectual property.

These Terms supplement the Service Agreement and do not replace it. Where a provision of the Service Agreement expressly conflicts with these Terms, the Service Agreement prevails between its parties.

For Users who are staff of Nero Partners, these Terms apply alongside their employment or other contract with Nero Partners and do not affect the rights and obligations arising from it.

13. Personal data

Nero Partners processes personal data in connection with NERO as described in the Privacy Policy. The cookies and similar technologies that NERO uses are described in the Cookie Policy. Both policies are available in NERO.

For personal data that a Client places in its Workspace, Nero Partners may act as a processor on the Client's behalf. The roles of the parties and the rules for that processing are determined by the Service Agreement and the applicable law. The Client and its Users are responsible for having a legal basis for the personal data they place in NERO.

14. Confidentiality

All information that a User accesses through NERO and that is not publicly available is confidential. This includes information about Nero Partners, its Clients and other Users, about projects, reports, results, creatives, documents and commercial terms, and about the non-public functions, interfaces and security measures of NERO.

The User undertakes:

  • to use confidential information only for the business relationship;
  • not to disclose it to third parties, except to persons within their Organisation who need it for the business relationship and are bound by a duty of confidentiality, or where disclosure is required by law;
  • to protect it with at least due care and not to copy or download it beyond what the business relationship requires.

These obligations do not apply to information that is or becomes public without a breach of these Terms, that the User lawfully knew before receiving it through NERO, that the User lawfully received from a third party without a duty of confidentiality, or that must be disclosed by law or by a decision of a competent authority. In the last case the User informs Nero Partners in advance where the law allows. This section does not restrict a Client or its Users in using or disclosing the Client's own information, including User Content provided by or for the Client and figures about the Client's own business, subject to the Service Agreement.

If a User accesses information that is evidently not intended for them, including information of another Client, they shall not use or disclose it and shall inform Nero Partners without delay.

The obligations in this section continue after the User's access ends, for as long as the information remains confidential. Confidentiality obligations under the Service Agreement apply alongside this section.

15. Acceptable use

The User shall use NERO in good faith and in accordance with the law, these Terms and the reasonable instructions of Nero Partners. In particular, the User shall not:

  • share their credentials or let anyone else use their account, unless Nero Partners has expressly authorised this in writing;
  • gain or attempt to gain unauthorised access to NERO, to other accounts or to systems and networks connected to NERO;
  • access or attempt to access data of another Client, Workspace or User to which they have not been given access, including by altering web addresses, identifiers or requests;
  • extract or collect data from NERO by automated crawling or by any other automated means, other than through functions that NERO itself provides for that purpose;
  • use bots, scripts or other automated means to access or use NERO or to generate activity in it, unless Nero Partners has expressly authorised this in writing;
  • reverse engineer, decompile or disassemble NERO or otherwise attempt to derive its source code, except to the extent that mandatory law does not allow this to be restricted;
  • circumvent or disable the security measures, access controls, request limits or other technical restrictions of NERO, or probe them for weaknesses;
  • carry out security assessments, vulnerability scans, penetration attempts or load simulations against NERO without the prior written authorisation of Nero Partners;
  • interfere with or disrupt the operation of NERO, overload it or impair its availability to others;
  • upload or transmit viruses, malicious files or other malicious code;
  • upload, publish or transmit content that is unlawful, including defamatory or threatening content or content that incites violence, hatred or discrimination;
  • infringe the intellectual property rights, trade secrets, privacy or other rights of others;
  • impersonate another person or organisation or misrepresent their authority or their affiliation with an organisation;
  • copy, modify, distribute, sell, rent or otherwise make NERO available to third parties, or use it to develop a competing product or service;
  • use NERO for any purpose other than the business relationship, including for sending unsolicited communications.

A User who becomes aware of a vulnerability in NERO or of a breach of this section shall inform Nero Partners without delay at k.georgiev@neropartners.bg and shall neither exploit nor disclose it.

A breach of this section entitles Nero Partners to take the measures provided for in these Terms, including suspension or restriction of access, without prejudice to its other rights.

16. Third-party services and integrations

Where Nero Partners has configured a connection for a particular Client, NERO may read reporting data from Connected Services such as Meta, Google Ads, Google Analytics 4, Shopify, Klaviyo, TikTok Ads, LinkedIn Ads, theMarketer and other advertising, analytics, commerce and e-mail platforms. Where enabled, NERO may also offer an optional connection to a calendar service. Such connections exist only where they have been configured; the mention of a platform in these Terms does not mean that a connection to it is active for any Client.

NERO only reads data from Connected Services. It does not create, pause or change campaigns, budgets, bids, audiences, creatives, e-mails or any other content on them.

Connected Services are provided by independent third parties. Nero Partners does not control them and is not responsible for their availability, their programming interfaces, changes to them, the limits they apply to access, or the accuracy and completeness of the data they provide. Their use is governed by their own terms and policies.

A person who authorises a connection to a Connected Service confirms that they are entitled to do so on behalf of the holder of the relevant account with it. The authorisation may be withdrawn by notifying Nero Partners or in the settings of the Connected Service, where it allows this.

Links in NERO to websites of third parties are provided for convenience. Nero Partners is not responsible for the content of those websites.

17. Reporting data and its limitations

Reporting data reaches NERO by manual entry, by import of files (such as CSV or XLSX) or, where a connection is configured, by import from Connected Services, run when a person starts it or on a schedule where one has been set up.

Figures in NERO may differ from those in the platforms' own reports and may in particular be:

  • delayed, because platforms make data available with a delay or because data from a connection reaches NERO only when an import runs;
  • attributed differently, because each platform applies its own attribution models, time windows, time zones and currencies;
  • incomplete, where a connection is interrupted or delayed or a platform restricts access;
  • changed later, where a platform corrects figures it reported earlier;
  • affected by errors in data that was entered manually or imported.

Amounts shown in another currency are converted at reference exchange rates and are indicative.

NERO is not an accounting system and is not a source of accounting, tax or other official financial records. Figures in NERO are provided for information and for collaboration. Before relying on them for significant business, financial or tax decisions, the Organisation should check them against the original sources.

Nero Partners takes reasonable care in configuring connections and presenting data, but does not guarantee the accuracy, completeness or timeliness of data that comes from third parties or is entered by Users.

18. No guarantee of results

NERO is a tool for collaboration and reporting. Neither NERO nor the information, reports, recommendations or analyses it contains guarantee any particular marketing, commercial or financial result, such as sales, revenue, return on advertising spend, leads or reach.

The obligations of Nero Partners in connection with the services it provides, and any agreed results, are determined only by the Service Agreement.

19. Availability, maintenance and updates

Nero Partners takes reasonable steps to keep NERO available and working properly. It does not promise uninterrupted or error-free operation or availability at all times, unless the Service Agreement expressly provides for a level of availability.

NERO may be temporarily unavailable or limited, in particular because of:

  • scheduled maintenance;
  • updates and the release of new versions;
  • urgent action to protect security, including the installation of security fixes and the response to incidents;
  • failures of hosting, network or other service providers;
  • circumstances beyond the reasonable control of Nero Partners.

Where reasonably possible, Nero Partners informs Users in advance of scheduled maintenance that is expected to affect access to NERO.

Technical limits apply to the use of NERO, such as the maximum size of an uploaded file, and may change. The User is responsible for their own equipment, internet connection and an up-to-date web browser.

20. Suspension and restriction of access

Nero Partners may suspend or restrict, in whole or in part, the access of a User or of all Users of an Organisation where this is necessary:

  • to protect the security of NERO, of an account or of data, including where credentials are suspected to have been compromised;
  • because of misuse of NERO or a breach of these Terms;
  • to comply with a legal obligation or a decision of a competent authority;
  • because the business relationship has ended;
  • because amounts due under an applicable Service Agreement have not been paid, in accordance with that agreement;
  • to protect other Users, other Clients or their data.

The measure is proportionate to its reason. Nero Partners informs the User or the Organisation in advance where reasonably possible and otherwise without undue delay afterwards, unless the law prohibits this or informing them would defeat the purpose of the measure, in particular in the case of a security risk.

If the business relationship continues, access is restored once the reason for the measure has ceased, unless Nero Partners deactivates the account under the section on deactivation of accounts. Suspension or restriction does not affect the other rights of Nero Partners.

21. Deactivation of accounts

Nero Partners may deactivate a User's account:

  • at the request of the User's Organisation, for example when the person no longer works for it or no longer acts as its contact;
  • when the person ceases to be a member of the staff of Nero Partners;
  • when the business relationship ends;
  • on any of the grounds for suspension in these Terms, where suspension is not sufficient.

A User may ask Nero Partners to deactivate their account by writing to k.georgiev@neropartners.bg.

A deactivated account can no longer be used to sign in. It is deactivated rather than deleted, and the content the User created remains in the Workspace to which it belongs, as part of the shared record of the work. Nero Partners may reactivate an account where access is needed again.

The rights of the person concerning their personal data, including the right to request erasure, are described in the Privacy Policy.

The provisions of these Terms that by their nature are intended to continue to apply after a User's access to NERO ends, in particular those on User Content, confidentiality, limitation of liability, indemnity, activity records, governing law and disputes, continue to apply after it ends, whatever the reason for which it ends.

22. Data after termination

Content is part of the Workspace in which it was created and stays there when a User's account is deactivated.

After the business relationship with a Client ends, the content and data of its Workspace are kept, deleted or anonymised in accordance with the Service Agreement, the Privacy Policy and the applicable law.

Where the Service Agreement provides for it, Nero Partners provides the Client, at its request, with an export of the content of its Workspace in a commonly used electronic format.

Content that a User moves to the Trash may be restored within 30 days and is, as a rule, permanently deleted after that period.

Nero Partners may keep data for longer where the law requires it or where this is necessary to establish, exercise or defend legal claims, such as records of acceptance of these Terms and activity records. Copies in backups are removed in the backup cycle of the hosting provider.

23. Disclaimer of warranties

To the extent permitted by mandatory law, NERO is provided "as is" and "as available". Except as expressly agreed in the Service Agreement, Nero Partners gives no express or implied warranty that NERO is fit for a particular purpose, that it meets particular requirements or that it will operate without interruption or error.

This section does not exclude any warranty or liability that cannot be excluded under the applicable law.

24. Limitation of liability

To the fullest extent permitted by law in business relations, Nero Partners is not liable for:

  • indirect or consequential loss;
  • lost profits, revenue, business or opportunities;
  • loss or corruption of data;
  • damage caused by failures, interruptions, changes or inaccurate data of Connected Services or of other third-party providers;
  • damage caused by misuse of NERO or by a breach of these Terms by the User or their Organisation;
  • damage caused by unauthorised use of the User's credentials, unless it results from a failure of Nero Partners to perform its own obligations;
  • damage resulting from decisions taken on the basis of figures in NERO that were not checked against the original sources;
  • failure to perform caused by force majeure.

The exclusions in the previous paragraph do not apply to damage caused by Nero Partners intentionally or through gross negligence.

Where the Service Agreement sets a limit on the amount of Nero Partners' liability, that limit also applies to claims connected with the use of NERO, to the extent permitted by law.

Nothing in these Terms excludes or limits liability that cannot be excluded or limited under Bulgarian law, including liability for intent or gross negligence under Article 94 of the Obligations and Contracts Act and liability for death or personal injury, nor the rights of data subjects under the law on the protection of personal data.

25. Indemnity

To the extent permitted by law, the User shall compensate Nero Partners for the damage and reasonable costs, including reasonable costs of legal defence, that Nero Partners incurs as a result of claims of third parties or of sanctions imposed by public authorities, to the extent they arise from:

  • User Content that is unlawful or was uploaded without the necessary rights or legal basis;
  • an infringement of the rights of third parties caused by User Content that the User uploaded;
  • intentional misuse of NERO by the User;
  • unauthorised access or other unauthorised conduct of the User.

Where the User has accepted these Terms also on behalf of a Client, this obligation binds the Client as well. Where these Terms bind the User only personally, the User's obligation under this section arises only where the User acted intentionally or with gross negligence.

The obligation does not apply to the extent that the damage was caused by Nero Partners itself. Nero Partners informs the User of any such claim without undue delay, allows them to take part in the defence where reasonably possible and does not settle the claim without consulting them, unless the circumstances do not allow this.

The liability towards Nero Partners of a User who is its employee is governed by the Labour Code.

26. Audit and activity records

NERO keeps operational and security records, including audit and activity records of the actions taken in NERO (who did what and when and, for certain actions, the state before and after the change), records of invitations, records of acceptance of these Terms, records of when certain items were read, and technical records needed for the security of the service.

Nero Partners uses these records to provide NERO, to protect its security, to investigate incidents and to resolve disputes. Nero Partners may use them as evidence of the actions taken in NERO, including in a dispute with a User or an Organisation. This does not affect the right of any party to rely on other evidence.

The User shall not attempt to alter, delete or circumvent these records. Personal data in them is processed as described in the Privacy Policy.

27. Electronic communications

Nero Partners communicates with Users electronically: through notices and notifications in NERO and by e-mail to the address associated with the User's account.

These communications concern the account, access, the service, security, operational matters and changes to these Terms. They are service communications, not marketing communications, and they form part of the use of NERO.

Invitation links and other means of first access are given to the person by Nero Partners through its own channels of communication. NERO itself sends e-mail only when a User asks to reset their password; that message is sent through the e-mail service of the authentication provider.

A communication is considered received when it becomes available to the User in NERO or reaches the e-mail address associated with the User's account. Notices to Nero Partners are sent to k.georgiev@neropartners.bg.

28. Changes to NERO

Nero Partners develops NERO continuously. It may change, add or remove functions, the user interface, integrations and technical requirements, including for reasons of security, law, technology or its business.

Where reasonably possible, Nero Partners informs Users in advance of changes that significantly affect the way they use NERO. Where a change affects services agreed in the Service Agreement, that agreement applies.

29. Changes to these Terms

Nero Partners may amend these Terms, in particular because of changes in the law, in NERO or in its services, or for reasons of security. Each version has a number and an effective date, and the version in force is available in NERO.

  • Material changes, which affect the rights or obligations of Users, are announced before they take effect and may require renewed acceptance: where NERO asks the User to accept the new version, the User may not continue to use NERO until they have done so.
  • Non-material changes, such as editorial corrections and clarifications that do not change the rights or obligations of Users, take effect when they are published.

A User who does not accept a material change cannot continue to use NERO. This does not affect the Service Agreement, under which the Organisation may raise the matter with Nero Partners.

30. Governing law

These Terms and the relationships arising from them are governed by Bulgarian law, subject to the mandatory rules of European Union law. Matters not settled in these Terms are governed by the Obligations and Contracts Act, the Commerce Act and the other applicable Bulgarian legislation.

These Terms are published in Bulgarian and in English. In the event of a discrepancy between the two texts, the Bulgarian text prevails.

31. Disputes

Nero Partners and the User shall first try to resolve any dispute arising from these Terms or from the use of NERO by negotiation in good faith. The party raising a dispute describes it in writing; the User sends the description to k.georgiev@neropartners.bg.

If the dispute is not resolved by negotiation within a reasonable time, it is referred to the competent Bulgarian court in Sofia, to the extent that such a choice of court is permitted between businesses. This does not affect mandatory rules on jurisdiction, nor a different agreement on the resolution of disputes in the Service Agreement, which prevails. Negotiation does not prevent either party from asking a court for interim or protective measures to secure a future or pending claim.

32. Transfer of rights and obligations

Nero Partners may transfer its rights and obligations under these Terms to a person who takes over the provision of NERO, in particular on a transformation of the company or on a transfer of its enterprise or of the part of it through which NERO is provided. To the extent the law allows such consent to be given in advance, the User consents to such a transfer by accepting these Terms, provided that the transfer does not make the User's position under these Terms less favourable. Nero Partners informs Users of the transfer.

The User may not transfer their rights or obligations under these Terms to another person.

33. Severability

If a provision of these Terms is or becomes invalid or unenforceable, this does not affect the remaining provisions. The invalid provision is replaced by the mandatory rules of law and, where there are none, by a valid rule that comes closest to its purpose. A provision that is invalid only in part or only to a certain extent applies in the part or to the extent in which it is valid.

34. No waiver

If Nero Partners does not exercise a right under these Terms, or exercises it late, this does not mean that it waives that right. A waiver is valid only if Nero Partners makes it expressly and in writing.

35. Contact

Questions about these Terms, about NERO or about the security of an account, and any notices to Nero Partners, may be sent to k.georgiev@neropartners.bg. Further information about Nero Partners is available at neropartners.bg.
